Bordaro Terms of Use

These Terms of Use (the "Terms") govern your access to and use of Bordaro, a real-time executive financial dashboard for creator-economy e-commerce brands, available at https://bordaro.app (the "Service"). The Service is operated by Bordaro ("Bordaro," "we," "us," or "our").

Please read these Terms carefully. They form a binding agreement between you and Bordaro.

1. Acceptance of Terms

By creating an account, accessing the Service, or clicking to accept these Terms, you agree to be bound by them. If you are accepting these Terms on behalf of a company or other organization (your "Organization"), you represent that you have the authority to bind that Organization, and "you" and "Customer" refer to that Organization.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Bordaro is a subscription-based, business-to-business software service that provides company executives with a consolidated, near real-time view of their business finances. Using the Service, you may:

  • Connect your Shopify store, your QuickBooks Online account, and your bank accounts (via Plaid) to Bordaro;
  • Automatically sync revenue, expense, and cash-balance data from those connected sources;
  • View financial dashboards, including per-creator profit-and-loss analysis; and
  • Receive AI-generated written summaries of your data, powered by the Anthropic Claude API. These summaries only narrate the data shown in your dashboards; they do not provide financial advice or forecasts.

Bordaro is a desktop-only web application designed for screens with a minimum viewport width of 1280 pixels. The Service is not designed for, and may not function properly on, mobile devices or smaller screens.

Bordaro supports multiple users per Customer. Account owners and administrators may invite team members and assign them roles (such as admin or viewer) with different levels of access. The Service is multi-tenant: each Customer's data is logically isolated from the data of other Customers.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years of age;
  • Use the Service only for business purposes on behalf of an Organization, not for personal, family, or household purposes; and
  • Have the authority to bind your Organization to these Terms.

By using the Service, you represent and warrant that you meet all of these requirements.

4. Accounts and Security

Registration. To use the Service, you must create an account with an email address and password. You agree to provide accurate, current, and complete information when registering and to keep that information up to date.

Credentials. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not you authorized it. You must notify us promptly at support@bordaro.app if you become aware of any unauthorized access to or use of your account.

Team members. If you invite team members to your Organization's account, you are responsible for their compliance with these Terms and for the access levels you grant them. Administrators can view and manage your Organization's financial data; assign roles carefully.

Suspension. We may suspend or restrict access to any account that we reasonably believe has been compromised or is being used in violation of these Terms.

5. Subscriptions, Fees, and Payment

Fees. The Service is provided on a paid subscription basis at a price of $20 per month per Customer, billed monthly in advance.

Payment. You authorize us (and our payment processor) to charge your designated payment method for all subscription fees when due. If a payment fails, we may suspend your access to the Service until payment is made.

Price changes. We may change our subscription fees from time to time. We will give you at least 30 days' advance notice of any price change, by email or through the Service. Price changes take effect at the start of your next billing period after the notice period. If you do not agree to a price change, you may cancel your subscription before it takes effect.

No refunds. Except where required by law, all fees are non-refundable. If you cancel your subscription partway through a billing month, you will retain access through the end of that billing period, but we do not provide refunds or credits for partial months of service.

Taxes. Fees are exclusive of taxes. You are responsible for all applicable sales, use, value-added, and similar taxes arising from your subscription, other than taxes based on our net income.

6. Third-Party Integrations

The Service depends on connections to third-party services that you choose to link to your account, including Shopify (via OAuth), QuickBooks Online provided by Intuit (via OAuth), and your bank accounts via Plaid Link (collectively, "Third-Party Services").

Your authorization. By connecting a Third-Party Service, you authorize Bordaro to access, retrieve, and process your data from that service on your behalf for the purpose of providing the Service. You represent that you have the right to grant this access for the accounts you connect.

Third-party terms. Your use of each Third-Party Service is governed by that provider's own terms of service and privacy policy, which are separate from these Terms. You are responsible for complying with them.

No responsibility for third parties. We do not control Third-Party Services and are not responsible for their availability, accuracy, security, or performance. If a Third-Party Service experiences an outage, changes its API, revokes access, or returns inaccurate or incomplete data, the corresponding data in Bordaro may be delayed, incomplete, or unavailable. We are not liable for any loss arising from a Third-Party Service.

Disconnecting. You may disconnect a Third-Party Service at any time through the Service or through the third party's own controls. Disconnecting a source will stop future syncs from that source and may limit the functionality of the Service.

7. AI-Generated Content Disclaimer

The Service uses the Anthropic Claude API to generate written summaries of your financial data ("AI Content"). You acknowledge and agree that:

  • AI Content is provided for informational and convenience purposes only;
  • AI Content is generated automatically and may contain errors, omissions, or inaccuracies;
  • AI Content only describes the data displayed in the Service; it does not — and is not intended to — provide financial, investment, tax, accounting, or legal advice, forecasts, or recommendations;
  • You must independently verify any information in AI Content against your own records before relying on it or making any business, financial, or other decision; and
  • Bordaro is not liable for decisions you make in reliance on AI Content.

If anything in an AI-generated summary conflicts with your underlying records, your records control.

8. Intellectual Property

Our property. Bordaro owns all right, title, and interest in and to the Service, including its software, design, dashboards, features, documentation, and branding, and all related intellectual property rights. Except for the limited right to use the Service described in these Terms, nothing in these Terms grants you any rights in the Service or our intellectual property.

License to you. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your Organization's internal business purposes during your subscription.

Your data. As between you and Bordaro, you own all business and financial data that you submit to the Service or that we retrieve from your connected Third-Party Services on your behalf ("Customer Data"). You grant us a limited, non-exclusive license to host, process, transmit, and display Customer Data solely as needed to provide, maintain, secure, and improve the Service and as otherwise permitted by these Terms and our privacy practices.

Feedback. If you provide suggestions or feedback about the Service, we may use it without restriction or obligation to you.

9. Acceptable Use

You agree not to, and not to permit anyone else to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • Scrape, crawl, or use automated means to access the Service or extract data from it, other than through features we provide;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent such restriction is prohibited by law;
  • Resell, sublicense, rent, lease, or otherwise make the Service available to any third party, or use it to provide services to third parties (for example, as a service bureau);
  • Circumvent, disable, or interfere with security features of the Service or with its multi-tenant data isolation;
  • Attempt to access accounts, data, or systems belonging to other Customers or to Bordaro;
  • Probe, scan, or test the vulnerability of the Service without our prior written consent;
  • Upload or transmit malicious code, or interfere with the integrity or performance of the Service;
  • Connect Third-Party Service accounts that you are not authorized to connect; or
  • Copy, modify, or create derivative works of the Service.

We may investigate suspected violations and may suspend or terminate accounts that violate this Section.

10. Confidentiality

Each party may receive non-public information from the other in connection with the Service ("Confidential Information"). Customer Data is your Confidential Information. Non-public information about the Service, including its features, pricing not publicly listed, and security practices, is our Confidential Information.

The receiving party will: (a) use the disclosing party's Confidential Information only as needed to perform under, or use the Service consistent with, these Terms; (b) protect it with at least reasonable care; and (c) not disclose it to third parties except to employees, contractors, and service providers who need to know it and who are bound by confidentiality obligations at least as protective as this Section.

Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already known without restriction, is independently developed, or is rightfully received from a third party. A party may disclose Confidential Information where required by law, provided it gives reasonable notice to the other party where legally permitted.

11. Termination

By you. You may cancel your subscription at any time through the Service or by emailing support@bordaro.app. Cancellation takes effect at the end of your current billing period.

By us. We may suspend or terminate your access to the Service: (a) if you materially breach these Terms and do not cure the breach within 15 days of notice (or immediately, for breaches of Sections 9 or 10 or non-payment); or (b) for any reason on at least 30 days' notice, in which case we will refund any prepaid fees covering the period after termination.

Effect of termination. Upon termination or expiration of your subscription: (a) your right to access the Service ends; (b) for 30 days after termination, we will make your Customer Data available for export upon request to support@bordaro.app; and (c) after that 30-day window, we will delete your Customer Data from our active systems, except where retention is required by law or where data persists in routine backups pending scheduled deletion.

Survival. Sections that by their nature should survive termination — including Sections 7, 8, 10, 12, 13, 14, 16, and 17 — will survive.

12. Disclaimers of Warranties

THE SERVICE, INCLUDING ALL DATA, DASHBOARDS, AND AI CONTENT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, BORDARO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) the financial data displayed in the Service — which depends on data supplied by Third-Party Services — will be accurate, complete, or current; or (c) any errors will be corrected. The Service is a reporting and visualization tool; it is not a substitute for your books of record, your accountant, or your own financial controls.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

(a) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND

(b) BORDARO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES YOU PAID TO BORDARO FOR THE SERVICE IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if a limited remedy fails of its essential purpose. They do not apply to your payment obligations, your breach of Section 9, either party's indemnification obligations, or any liability that cannot be limited under applicable law.

14. Indemnification

You will defend, indemnify, and hold harmless Bordaro and its officers, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Data; (b) your use of the Service in violation of these Terms or applicable law; (c) your connection of Third-Party Service accounts you were not authorized to connect; or (d) decisions made by you or your Organization in reliance on the Service or AI Content.

We will promptly notify you of any claim subject to indemnification, allow you to control the defense and settlement (provided any settlement fully releases us and imposes no obligation on us), and reasonably cooperate at your expense.

15. Modifications to the Service and Terms

Changes to the Service. We are continually improving the Service and may add, change, or remove features at any time. We will endeavor to give reasonable notice of changes that materially reduce the core functionality of the Service.

Changes to these Terms. We may update these Terms from time to time. If we make material changes, we will notify you by email or through an in-app notice at least 30 days before the changes take effect (except for changes required by law, which may take effect sooner). Your continued use of the Service after the effective date of updated Terms constitutes acceptance of them. If you do not agree to updated Terms, you must stop using the Service and may cancel your subscription before they take effect.

16. Governing Law, Venue, and Dispute Resolution

These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution first. Before filing any claim, you agree to first contact us at support@bordaro.app with a description of the dispute and give us at least 30 days to work with you in good faith to resolve it informally. We agree to do the same before bringing a claim against you.

Venue. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in the State of Washington, and each party consents to the personal jurisdiction and venue of those courts. Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.

17. Miscellaneous

Entire agreement. These Terms, together with any policies referenced in them, are the entire agreement between you and Bordaro regarding the Service and supersede all prior or contemporaneous agreements and understandings on that subject.

Severability. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.

Assignment. You may not assign or transfer these Terms without our prior written consent, except to a successor in a merger, acquisition, or sale of substantially all of your assets, with notice to us. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. Any attempted assignment in violation of this Section is void.

No waiver. A party's failure to enforce any provision of these Terms is not a waiver of its right to enforce that provision later.

Force majeure. Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, internet or utility failures, or failures of Third-Party Services.

Independent contractors. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship.

Notices. We may provide notices to you by email to the address associated with your account or through the Service. You may provide notices to us at support@bordaro.app.
